Overview

Robinson Bradshaw’s Energy Practice Group provides legal advice and assistance to clients engaged in nearly every aspect of energy production and supply, including oil, natural gas, electricity and solar. Our group is comprised of an interdisciplinary team of attorneys whose experience runs the gamut of Robinson Bradshaw’s practice, including project finance and other capital markets, mergers and acquisitions, joint ventures, securities regulation, real estate, zoning, environmental, tax, construction, corporate and commercial, and litigation. Drawing on this wealth of experience, we are able to provide our energy industry clients with creative – and cost-effective – solutions to the broad range of legal issues affecting their businesses as they arise.

For example, we assist with mergers and acquisitions of energy companies; the development, acquisition and divestiture of power facilities; power purchases and sales; energy joint ventures; the provision of energy services, from both the user and provider perspective; and the financing of energy transactions on behalf of lenders and borrowers, from project-level debt to investment grade borrowers. Our representation of solar energy funds involves structuring funds, drafting offering documents, negotiating and structuring investments in renewable energy projects, and providing tax advice. We also advise clients in the energy industry on general corporate issues, such as governance.

Experience

  • Prepare private placement memoranda, offering documents and partnership agreements for organizational and fundraising matters on behalf of solar energy funds.

  • Structure and negotiate investments in renewable energy projects.

  • Represent project developers in connection with solar projects and the purchase and sale thereof.

  • Represent solar energy funds in connection with transactions involving federal and North Carolina tax credits, including obtaining several private letter rulings from the North Carolina Department of Revenue.

  • Represent lenders and borrowers in connection with financings for solar energy projects.

  • Negotiated and structured joint ventures for electric generation facilities in Missouri, Indiana and Ohio.

  • Negotiated and structured a joint venture for an equity fund to purchase underground storage of natural gas in West Virginia.

  • Represented seller in connection with the sale of electric generation facilities in North Carolina and Tennessee.

  • Represented seller in connection with the sale of an energy services business with operations throughout the U.S.

  • Negotiated and structured the purchase and subsequent sale of a waste-to-energy business with facilities in the Northeast.

  • Represent purchaser in connection with power purchase, gas purchase, tolling and operating agreements for power facilities in various states.

  • Negotiated and structured an equity investment by an institutional investor in a natural gas compression business located in Texas and other states in the Southwest.

  • Negotiated and structured an equity investment by an institutional investor in a business providing production, completion and other services to oil and gas production companies located in Texas and other states in the Southwest.

  • Represented investment grade utilities and parent company borrowers in connection with numerous financings, including a $7.5 billion senior syndicated credit facility and several bridge syndicated credit facilities, each for $1 billion.

  • Represented borrowers in connection with project level and business unit financings, such as related $300 million and $440 million financings for the purchase by a private equity fund of natural gas fired facilities in Georgia.
