Mr. Andry’s corporate finance and transactional practice includes debt financing and equity investment transactions as well as mergers, acquisitions, joint ventures and related commercial transactions. He serves as chair of the firm’s life sciences practice group.
Mr. Andry’s transactions in the area of life sciences have included representing lenders in credit facilities to borrowers in the medical device, dental, pharmacy, insurance and health care data sectors. His clients also include companies that manufacture and develop products in the over-the-counter health care, nutraceutical, and nutritional products industries. Mr. Andry has worked extensively with his life sciences clients in negotiating and drafting contract manufacturing agreements with major pharma companies, product development agreements, licensing agreements and distribution agreements.
In his corporate finance practice, Mr. Andry has significant experience representing lenders and borrowers in structuring and negotiating complex credit facilities, including senior syndicated facilities for investment-grade borrowers, leveraged acquisition financings and subordinated debt facilities. Mr. Andry also has handled the equity incentive and equity capital components of such transactions.
Over his career Mr. Andry has represented both private and public companies in the industrial products, construction products, packaging and food products industries. As an extension of his other corporate finance work, Mr. Andry regularly advises clients in related corporate and commercial transactions including corporate organization and structuring, operating and shareholders’ agreements, joint ventures, private equity investments, and significant commercial contracts.
Mr. Andry is a former member of the faculty of the Department of Agricultural and Resource Economics at North Carolina State University.
