Allen K. Robertson

Allen Robertson is involved in the firm’s public finance, banking, bankruptcy and health care practices.

Public Finance
Since 1994 Allen has served as bond counsel, underwriters’ counsel, letter of credit/liquidity provider counsel or borrower counsel in hundreds of tax-exempt bond issues, including financings of health care facilities, educational facilities, exempt facilities (e.g., multifamily housing, solid waste disposal and airport facilities), and manufacturing facilities (i.e., industrial development bonds). His public finance practice is now focused primarily on financings for health systems, hospitals and senior living facilities.

Allen represents banks in making corporate loans, providing letters of credit and liquidity facilities, and underwriting, placing and remarketing securities. He has experience with syndicated loans, club loans and single bank loans. Because of his bankruptcy experience, Allen has substantial experience serving as bank counsel in leveraged and other collateral-intensive transactions.

Bankruptcy, Workouts and Defaults
Allen began his career at Robinson Bradshaw as a bankruptcy lawyer and litigator, focusing on the representation of debtors and creditors in Chapter 11 bankruptcy cases and representation of plaintiffs and defendants in other commercial litigation, including securities litigation.

He has represented banks, remarketing agents, trustees and borrowers in workouts and defaults of or relating to tax-exempt bond issues. Examples of his experience include drafting forbearance agreements, structuring deeds in lieu of foreclosure, default litigation and settlement of IRS audits.

Allen regularly provides bankruptcy structuring advice and opinions. Examples of his experience include serving as special counsel to a research university in analyzing bond restructuring and debtor-creditor issues relating to the proposed spinoff of its academic medical center, delivering an opinion regarding perfection and priority of a common law security interest in asbestos-related insurance accounts receivable to facilitate the spinoff of a public company, and giving bankruptcy nonconsolidation opinions supporting two syndicated loan transactions totaling $1.1 billion.

Health Care/Senior Living
In addition to his health care public finance practice, Allen regularly represents health care and senior living providers and underwriters on other matters, including mergers and acquisitions, taxable financings (including taxable corporate bond issues and taxable bank loans), drafting form occupancy and residency agreements for retirement communities and representing senior living providers in licensing and certificate of need issues.
