Matthew S. Churchill

Mr. Churchill’s transactional and corporate finance practice covers a range of commercial transactions, with a focus on private equity acquisitions and dispositions, joint ventures and debt financings and restructurings. He has represented a variety of public and private companies and private equity groups in numerous industries, including energy, healthcare, media, franchising and engineered industrial products.

Mr. Churchill’s acquisition and disposition work has focused primarily on private equity investments in, and dispositions of, portfolio companies, including control acquisitions, minority investments and bolt-on acquisitions for existing portfolio companies. He has extensive experience in structuring both the purchase/sale documents and the related financing agreements. He is also often involved in the documentation of management co-invest and rollover equity transactions, including securities law compliance. Mr. Churchill has also worked with both public and private strategic buyers in acquisitions and dispositions of private and public companies and divisions thereof.

Mr. Churchill’s joint venture practice has involved both 50/50 joint ventures involving public companies and smaller healthcare joint ventures between physician practice groups and service providers. He has developed expertise in the law and documentation related to limited liability companies. His joint venture practice has focused on the energy and healthcare sectors and has included the initial structuring, recapitalization, sale and dissolution of joint ventures.

Mr. Churchill has also represented commercial lenders and public company borrowers in syndicated loan transactions (including both cash flow and asset-backed financing facilities), along with debt issuances in both publicly registered and 144A transactions. He has also worked with a number of borrowers on restructuring transactions, including the negotiation and documentation of debtor-in-possession financing.

Prior to joining the firm in 1996, Mr. Churchill was an associate with Simpson Thacher & Bartlett in New York.
