Mr. Crawford is a member of the corporate transactional practice group. His primary practice areas include private equity fund formation and investment management, senior and mezzanine finance, mergers and acquisitions, joint ventures, and general corporate law.
His experience includes representing sponsors in structuring and negotiating fund terms and offering documents, structuring management companies and general partners, and counseling sponsors generally with respect to their formation, capital-raising, and investment activities. Mr. Crawford brings to his private equity practice the tax expertise of a certified public accountant, having completed a masters degree in accounting and having spent several years in the private company tax department of a big four accounting firm. His investor representation includes advising institutional and fund of funds investors in making investments in private equity funds, hedge funds, venture capital funds, direct investments in portfolio companies and purchases of limited partnership interests in secondary market transactions.
Mr. Crawford’s experience also includes representing lenders and borrowers in a variety of financing transactions, representing public and private companies in mergers and acquisitions, and representing health care clients in a variety of joint venture transactions. He regularly advises middle market corporations and limited liability companies in a variety of commercial and corporate matters, including organizational and governance matters, shareholder and operating agreements, capital and debt structures, and various contractual matters related to their specific businesses and industries.
