Mr. Crawford is a member of the corporate and commercial practice group, with a particular focus on private equity, investment management, mergers and acquisitions, and general corporate and commercial law.
His experience includes representing private equity and venture capital sponsors with respect to their formation and capital-raising activities, including the negotiation of fund terms and the preparation of offering documents. His investor representation includes advising institutional and fund of funds investors in making investments in private equity funds, hedge funds, venture capital funds, direct investments in portfolio companies and secondary market transactions. As part of his investment management practice, Mr. Crawford regularly advises clients on compliance with various securities laws, including the Investment Company Act of 1940 and the Investment Advisers Act. Mr. Crawford brings to his sponsor and institutional investor practice a tax background as a certified public accountant, having completed a master's degree in accounting and having spent several years in the private company tax department of a big four accounting firm.
Mr. Crawford’s experience also includes representing lenders and borrowers in a variety of financing transactions, representing public and private companies in mergers and acquisitions, and representing health care clients in a variety of joint venture transactions. He regularly advises middle market companies in a variety of commercial and corporate matters, including organizational and governance matters, operating agreements, capital structures, and various contractual matters related to their specific businesses and industries.
