Jeffrey C. Hart

Mr. Hart chairs the firm’s Venture Capital Practice Group, and his practice areas include private fund formation, private investment transactions, mergers and acquisitions, joint ventures and other business transactions.

Mr. Hart has substantial experience working with private investment funds, institutional investors, strategic investors and individuals who invest in portfolio companies and private funds. He has structured, negotiated and documented a wide variety of portfolio company investments, including convertible preferred stock, preferred limited liability company interests, convertible debt, junior and subordinated debt with warrants, options and other types of derivative instruments. He regularly represents sponsors in the formation, regulation and operation of private funds (including funds-of-funds, venture capital funds, private equity funds and real estate funds), as well as institutional investors in connection with their investments in such funds.

Mr. Hart also regularly represents private companies in the creation of simple and complex capital structures, the private offering and sale of debt and equity securities, equity compensation plans and employment agreements, joint ventures with strategic partners, exit strategies and the purchase of other businesses.
