Mr. Hart chairs the firm’s Venture Capital Practice Group, and his practice areas include private equity and venture capital transactions, mergers and acquisitions, joint ventures and other business transactions.
Mr. Hart has substantial experience working with venture capital and private equity funds, individuals and institutions that invest both in portfolio companies and other funds. He has negotiated and documented a variety of investments, including convertible preferred stock, preferred limited liability company interests, convertible debt, junior and subordinated debt with warrants, options and other types of derivative instruments.
Mr. Hart also regularly represents small and medium size companies with respect to the creation of simple and complex capital structures, the private offering and sale of debt and equity securities, equity compensation plans and employment agreements, joint ventures with strategic partners, exit strategies and the purchase of other businesses.
